TERMS & CONDITIONS

While Never Not Doing Things (or “NNDT”) works with vendors and partners to create events that are as safe as possible, the activities offered can and often do inherently involve danger, life threatening situations as well as known and assumed risk.

To protect NNDT, its mission, members and owners, any person or persons who actively engage with, or through means provided by, NNDT will be considered “Members”. This includes, but is not limited to, interacting on any NNDT operated social media platform, RSVP or committing to attend any NNDT sanctioned event (“Event”)  or attending any NNDT sanctioned Event. Additionally, we require our Members to comply with NNDT policies, procedures, terms and conditions, which we refer to together as “rules” and are outlined below.

 

By using this site, and by participating in or using NNDT’s services and benefits, including (but not limited to) any social media controlled or operated by NNDT, any venues and/or events facilitated or organized by NNDT or any discounts/promotions offered by NNDT, Members agree to follow these rules as well as any other rules as communicated d by NNDT specific to any activities, events, vendors and equipment. In the case that any Member violate any of these rules, that member and their party may be subject to permanent removal from the NNDT community and prohibited from participating in NNDT Events, activities as well as removal from any and all NNDT controlled and operated social media accounts, at the sole discretion of NNDT. In addition, to protect members and staff, NNDT has the right to remove any member from participating in any Event. Activity, social media of NNDT for any reason.

 

 

 

 

Never Not Doing Things General Rules

 

  1. The posting of any negative, distasteful, bullying, or inappropriate comments will not be tolerated and NNDT may remove any content from its social media and/or prevent anyone from posting on its social media, at NNDT’s sole discretion. Members must not post any unlawful, harassing, offensive, hateful, threatening, stalking, vulgar, abusive, racist, or promote or share any content or opinion deemed to be questionable or offensive on NNDT social media.

  2. Blocking any NNDT Administrator or Moderator or other Staff, may result in immediate removal from all NNDT groups and sites, and revocation of Membership.  

 

STANDARDS OF CONDUCT

  1. NNDT is a safe place for members, volunteers, vendors and staff. We are fully inclusive and all members are to be treated fairly, with kindness and respect at all times. Failure to exhibit respect to fellow members will not be tolerated. 

  2. Using any of NNDT’s various platforms to self-promote or be unlawful, harassing, offensive, hateful, threatening, stalking, vulgar, abusive, racist, or to promote or share any content or opinion deemed to be questionable or offensive will not be tolerated.

  3. NNDT does not discriminate based on race, color, religion, sex, sexual orientation, gender identity, national origin, or disability.

  4. Members are responsible to disclose any known medical conditions that may significantly prevent active and safe participation in events, adventures or outings.

  5. One of NNDT’s tenets is “sustainability of self” (or, healthy living) and therefore the use, possession and/or selling of controlled substances and unlawful items during Events is not allowed.

  6. Complete guidelines on Cancellations and Refund can be found below, but as a general rule, Event deposits are non-refundable and will be treated as donations, if possible.

  7. NNDT, through its vast social media presence and offerings, encourages Members to network and connect with other Members outside of NNDT sanctioned Events. In the case that Members embark on any Events, Gatherings or Social Meetings that are not explicitly sanctioned by NNDT, NNDT will not be held liable for the actions or outcomes of said Event. For events not sanctioned by NNDT, participants are encouraged to meet in a public place, prior to the event, to discuss planning. Further, no Member will charge or accept payment for a non NNDT sanctioned Event. Doing so will result in immediate removal from NNDT and all affiliated sites.

  8. All Members may communicate with NNDT and other members through NNDT controlled and operated social media about any on-topic discussion. Networking and sharing of on-brand interests and experiences though NNDT is encouraged. All such communication is subject to NNDT’s social media rules as described below.

  9. Our main tenet is Global and Community Sustainability. As such, All Members are expected to follow all posted trail rules as well as exhibit Leave No Trace (“LNT”) behavior, both during NNDT Events and otherwise.

  10. Any participation in any Event or offering by NNDT assumes the participant is labelled as “Member” and therefore subject to any rules, regulations or conditions as laid out in this document. 

 

 



 

MEMBER BENEFITS

  1. Membership with NNDT is currently categorized into one non-paying tier (“Free Member”) with future Premium tiers planned for the future. 

  2. Free Members are defined as non-paying members who have access and who make use of NNDT’s website, Facebook page or any other social media that NNDT controls or operates. Free Members may participate in select events as posted through NNDT’s various platforms. Free Members are obligated to acknowledge and agree to NNDT’s acknowledgement of risk and waiver of liability, and must comply with all NNDT rules.

  3. Members may sell or trade any gear that relates to NNDT’s mission through the NNDT website and social media. Upon posting, or responding to, a sale or trade transaction, the selling member acknowledges that he/she has the right to sell said item, and is responsible for all applicable taxes, fees and transfers of such goods. NNDT takes no responsibility with regard to any disputes that arise as a result of such transactions. Furthermore, the seller also assumes any liabilities associated with the condition or functionality of the item being sold. 

  4. Any and All NNDT sanctioned group events will be organized and led by a designated NNDT Representative or representatives, who will be responsible for:

    1. Defining the scope of the event (ie expected duration, pace, difficulty level, any required gear (provided or otherwise), and level of experience required to participate) responsibly and to the best of their ability.

    2. Be informative and contactable for participants to discuss their adventure goals, and any health issues that may impact participation in the event.

    3. Timely response to any related questions from Members

 

INTELLECTUAL PROPERTY RIGHTS

  • All NNDT Content (including branding) found on NNDT website and NNDT social media is the exclusive property of NNDT or its licensors. For purposes of clarity, “NNDT Content” includes any and all content such as, but not limited to, text, images, graphics, logos, page headers, button icons, images, audio clips, digital downloads, data compilations, software, trademarks (whether registered or common law trademarks), copyright, audio, video, data and other materials (together, “content”) as well as any part of the online services. All NNDT Content is protected and solely belongs to NNDT. All rights in respect to NNDT Content are the sole property of NNDT, and NNDT Content may not be used, copied or taken without prior written permission by NNDT’s Executive Director.​

ANTI-SPAM POLICY

  • NNDT prohibits any unauthorized use of the information of its Members. Violation of this rule may result in revocation of membership rights, removal of any Member account and/or termination of any Sponsorship and/or Partnership agreements. 

  • Spamming (defined here as “any activity whereby you directly or indirectly transmit email messages to any email address without solicitation or consent”) is strictly prohibited. Please report any Spamming/misuse of Member information to Info@NeverNotDoingThings.org 

PUBLICITY RELEASE:

  • Upon attending any NNDT Event, all Members authorize NNDT the use of and consents to past, present, and future images, likeness, name, voice and all reproductions in any media forever,  in any location in the world, by us or our licensees, and you waive any rights of privacy or publicity related to such uses. Member consents to being webcast, broadcast, filmed, videotaped, photographed and/or recorded as a member of the audience, a willing participant, and/or a ticket holder. Members release Never Not Doing Things, its affiliates and licensees from any liability for loss or damage to persons or property arising from the aforementioned actions.​

SHARED CONTENT RELEASE

 

  • Any posted content on any NNDT site or social media, or use of the hashtags #nndt or #nevernotdoingthings (or any other commonly trademarked hashtag for specific NNDT use), is granted a non-exclusive, worldwide, irrevocable, perpetual, transferable, royalty-free license to NNDT with the right to license or sublicense or to host, use, copy, adapt, download, modify, distribute, reference, store, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, create derivative works, and otherwise exploit such content on and through NNDT’s website, NNDT operated social media accounts and any and all third-party distribution channels selected by, but not necessarily affiliated with, NNDT, in any form, currently known or later developed medium or technology, in whole or in part, for any purposes, including for both commercial and non-commercial purposes. Neither NNDT nor any third parties have any obligation to provide compensation to any party for any content or the licenses granted herein.

  • All Member posted content on NNDT’s website and/or any NNDT operated social media accounts assumes acknowledgement and agreement that the posting Member is solely responsible for compliance with the above-referenced standards and represent and warrant that the Member: (i) is either the sole and exclusive owner of all content; and (ii) neither the content nor their posting, uploading, publication, submission or transmittal of the content or NNDT’s usage of the content, through or by means of the website or otherwise will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights, or other proprietary of intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

 

REFUNDS & CANCELLATION:

Never Not Doing Things (NNDT) operates as a Section 501(c)(3) non-profit organization dedicated to working with vendors to find the best cost and pricing for group Events and activities. As such we often leverage our group size for discounts we can pass on to you. With this in mind, individual cancellations will be handled on a case by case basis, but will roughly maintain the following guidelines;

  1. In the event of participant cancellation requests made prior to NNDT booking said group activity with a particular vendor: participant will be eligible for a full refund, barring any overhead costs already paid by NNDT.

  2. In the event of participant cancellation requests made after NNDT booking said group activity with a particular vendor: NNDT will make a good faith attempt to find an alternative paying participant to join the event, in which case all admission fees will be transferred back to the original participant. Original participants will be encouraged to find someone to buy their admission as well. In the case no alternative participant can be found, no refund will be issued.

  3. In the event of a vendor cancellation: Refunds will be handled according to the vendor’s refund policy and compliance. NNDT will not be held liable for vendor refund refusals or issues.

  4. In the event a paid participant is ejected from an event by NNDT or vendor for not following rules or otherwise representing the group accordingly, including (but not limited to) late arrivals and no-shows: no refund will be issued.

  5. All deposits are not obligated to refund for any reason and will be treated as donation when possible.

NNDT is a Section 501(c)(3) nonprofit corporation. All funds from Donation and Events go directly back into Never Not Doing Things or like-missioned organizations as decided on by NNDT board, and will assist with providing support for our members and driving our mission throughout the community.

 

VIOLATIONS OF GUIDELINES:

​Any members/participants who violate any of these guidelines will be subject to permanent removal from the Never Not Doing Things community of offerings and prohibited from participating in any group related events or activities, at the sole discretion of Never Not Doing Things, Inc

 

BINDING AGREEMENT:

  • ​Participating or interacting in any way in Never Not Doing Things or its offerings, assumes acknowledgement and agreement to be bound by these Terms, and any written updates to these guidelines that may be disseminated/published on Never Not Doing Things’s website from time to time by Never Not Doing Things, Inc.

  • Entering into this Agreement assumes representation, warrant and covenant of granted authority to enter into this Agreement and perform its obligations hereunder.  

  • This Agreement will constitute a legal, valid and binding obligation of Member, enforceable in accordance with its terms.

  • Any and all procedures adopted by NNDT may be amended at any time, and without warning

 

 

GOVERNING LAW:

These guidelines shall be interpreted under the laws of the State of Colorado, without regard to any choice of law or conflict of law principles.  Jurisdiction and venue for any disputes arising under these guidelines shall be exclusive to the state and federal courts in the City and County of Jefferson, State of Colorado.
